Acme issued a formal notice to cure dated 2026-03-10 identifying the foregoing breaches and granting 30 days to cure pursuant to clause 12.2 of the Agreement. That cure period has expired on 2026-04-09 without meaningful remediation: the Q1 2026 audit score remains below 60/100 and the under-staffing and SDS/PPE issues persist.","wind_down_arrangements":"To ensure an orderly transition to Acme's replacement provider, Stellar Cleaning Services SPRL shall: (a) continue to provide services through 2026-04-30 in accordance with the Agreement, including the remediation actions already underway; (b) between 2026-04-22 and 2026-04-30, grant Acme and its incoming provider reasonable site access outside core operating hours for the hand-over walk-through; (c) return by 2026-05-02 all Acme-owned access badges, keys, alarm codes, and any Acme materials or documentation in its possession; (d) issue a final, pro-rated invoice for April 2026 services by 2026-05-05 (payable on standard 30-day terms) with no penalty, exit fee or damages being conceded by either party in this clause; (e) notify any subcontractors and their personnel on Acme premises that their access ceases on 2026-04-30.","post_termination_obligations":["Confidentiality obligations under clause 14 of the Agreement survive for a period of three (3) years from the termination effective date.","Health-and-safety reporting obligations in respect of incidents before 2026-04-30 survive until full closure of the relevant Belgian CODE du bien-être au travail reporting cycle.","Data-protection obligations under the DPA (Art. 28 GDPR) annexed to the Agreement survive and Stellar shall, within 30 days of the effective date, certify in writing the deletion or return of all personal data processed on Acme's behalf.","Clauses 16 (Limitation of Liability) and 17 (Governing Law) survive termination."],"signatory":{"name":"Marie Laurent","role":"General Counsel, Acme Supplies SRL","place":"Brussels","date":"2026-04-12"}}
